Terms of Service

Legal entity / messaging brand: WAQTO LLC

These Terms of Service (“Terms”) are a binding agreement between you and WAQTO LLC (“WAQTO,” “Duha,” “we,” “us,” or “our”), the company that operates the Duha platform at https://duha.app, governing access to and use of the Services. WAQTO LLC is the registered business and messaging brand for Duha SMS and voice communications.

By creating an account, clicking to accept, downloading the Community App, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Have counsel review these Terms before relying on them for commercial or app-store compliance.

1. The Services

Duha provides software and related services for Islamic centers, masajid, and similar organizations, including:

  • Public websites and marketing properties (including https://duha.app);
  • Web-based admin dashboards and APIs for membership, giving, events, communications, school, governance, and related tools;
  • The Duha community mobile applicationsfor iOS and Android (the “Community App”);
  • Support, documentation, and optional onboarding or migration assistance we agree to provide.

We may modify, add, or remove features. We will not materially reduce core paid functionality without reasonable notice except where required for security, law, or third-party platform changes (including Apple / Google requirements).

2. Accounts and eligibility

You must be able to form a binding contract to use the Services. If you use the Services on behalf of an Organization, you represent that you have authority to bind that Organization, and “you” includes that Organization.

You are responsible for the accuracy of account information, for safeguarding credentials, and for all activity under your account. Notify us promptly of unauthorized access at contact@duha.app.

3. Organizations and administrators

Organization administrators control invites, roles, member data, content, and Community App configuration for their community. Organizations are responsible for:

  • Obtaining any consents and providing any notices required to collect and process personal data of members, donors, students, volunteers, and Community App users (including SMS and voice messaging consent where those channels are used);
  • Ensuring Customer Content and communications comply with applicable law (including nonprofit, fundraising, privacy, anti-spam, and carrier messaging rules);
  • Resolving disputes with their community members about Customer Content, access, or deletion (Duha may assist as a processor as described in the Privacy Policy).

4. Community mobile app

The Community App may be offered free to end users and is typically linked to one or more Organizations that subscribe to Duha.

  • License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Community App on devices you own or control, for personal, non-commercial community use (unless you are using an Organization admin feature we expressly authorize).
  • App stores. Downloads from Apple App Store or Google Play are also subject to the applicable store's terms. Apple and Google are not parties to these Terms and have no obligation to provide maintenance or support for the Community App. To the maximum extent permitted by law, those stores have no warranty obligations regarding the Community App; any claims related to the app are between you and Duha (subject to these Terms), not the store.
  • Updates. The app may download updates automatically. Some features may require the latest version or a supported OS.
  • Permissions. Certain features require device permissions (notifications, location, camera, etc.). Denying a permission may limit that feature.
  • No emergency services. Prayer times, directions, and community messaging are convenience features only and are not a substitute for official emergency services or professional advice.

5. SMS and voice messaging program

WAQTO LLC operates the Duha SMS and voice messaging program. Organizations may use Duha to send SMS text messages and automated voice calls to recipients who have consented to receive them. Program name: WAQTO LLC / Duha community messaging. Messages may include prayer and schedule reminders, event and program announcements, volunteer opportunities, fundraising updates for Organization programs, and urgent community alerts. Messages are transmitted by WAQTO LLC using its messaging providers on behalf of the Organization.

  • Consent. Recipients must opt in before receiving non-exempt marketing or informational SMS (for example by checking an SMS consent box on a website or Community App form, by texting an opt-in keyword such as START, YES, UNSTOP, JOIN, ALERTS, or MASJID to the program number, or by providing written consent to the Organization). Consent is voluntary and is not a condition of purchasing goods or services from WAQTO LLC, Duha, or the Organization unless a specific transactional message is legally permitted without separate marketing consent.
  • Message frequency. Frequency varies by Organization. Recipients typically receive a low volume of messages (for example up to four SMS messages per month for routine updates), with higher frequency only for time-sensitive or emergency notices.
  • Message and data rates may apply. Standard carrier message and data rates may apply. Neither WAQTO LLC nor the Organization charges recipients a separate fee to receive these messages.
  • HELP and STOP. Reply STOP to cancel SMS from the WAQTO LLC / Duha messaging program. Reply HELP for help. Support is also available at contact@duha.app.
  • Privacy. Mobile information practices are described in our Privacy Policy, including that mobile numbers are not shared with third parties for their marketing.
  • Carriers. Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier networks and device status.
  • Organizations. Organizations using messaging features must maintain accurate opt-in records, honor opt-outs promptly, and send only content consistent with their registered use case and applicable law.

6. Acceptable use

You agree not to:

  • Violate law, infringe others' rights, or upload unlawful, harassing, defamatory, or fraudulent content;
  • Attempt unauthorized access, probe, or disrupt the Services or other users' accounts;
  • Reverse engineer, scrape at scale, or misuse APIs except as allowed by documented interfaces and these Terms;
  • Send spam or unsolicited bulk messages through the Services in violation of law or recipient expectations;
  • Use the Services to process data you are not authorized to process;
  • Misrepresent affiliation with Duha or an Organization;
  • Circumvent billing, usage limits, or security controls.

We may investigate violations and suspend or terminate access as described in Section 12.

7. Customer content and intellectual property

Your content. Organizations and users retain ownership of content they submit (“Customer Content”). You grant Duha a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Content solely to provide and secure the Services and as otherwise directed by you.

Our IP. Duha and its licensors own the Services, software, branding, and documentation. Except for the limited rights expressly granted, no rights are transferred to you. You may not remove proprietary notices.

Feedback. If you provide suggestions or feedback, you grant Duha a perpetual, royalty-free license to use it without obligation to you.

8. Subscriptions and billing

Paid plans are billed according to the pricing and billing cadence you select (see Pricing). Fees are charged in advance unless we state otherwise. Except where required by law or we expressly agree in writing, fees are non-refundable. Messaging usage, phone-number lease, and related carrier or compliance fees may be billed separately as disclosed in product pricing or at checkout.

You authorize us and our payment processors to charge your payment method for recurring fees until you cancel. You may cancel as described in your account or by contacting support; access continues through the end of the then-current paid period unless we state otherwise.

We may change prices with reasonable advance notice for the next renewal period. Taxes may apply as required.

9. Donations and payment facilitation

Duha provides software tools that help Organizations accept donations and other payments. Duha is not the charity or recipient of donor funds unless expressly stated for a Duha-operated campaign. Organizations are responsible for:

  • Compliance with fundraising and tax rules;
  • Accurate fund designations and donor communications;
  • Settlements and disputes handled through payment processors under those processors' terms.

Payment processors may impose their own KYC, fee, chargeback, and reserve rules. We are not liable for processor outages or Organization misuse of payment features.

10. Third-party services

The Services may integrate with or link to third-party products (payment providers, email/SMS carriers, maps, app stores, analytics, SSO). Third-party services are governed by their own terms and privacy policies. Duha is not responsible for third-party services and does not endorse them merely by integration.

11. Disclaimers and limitation of liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUHA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT (INCLUDING PRAYER TIMES OR COMMUNITY INFORMATION) WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUHA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUHA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DUHA FOR THE SERVICES IN THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID FEES (FOR EXAMPLE, COMMUNITY APP END USERS).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

Indemnity.You will defend and indemnify Duha against claims arising from your Customer Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by Duha's willful misconduct.

12. Term, suspension, and termination

These Terms apply while you use the Services. You may stop using the Services and, where applicable, cancel your subscription as described in Section 8. We may suspend or terminate access immediately if you breach these Terms, create risk or legal exposure, fail to pay fees, or if required by law or a platform provider.

Upon termination, your license ends and you must stop using the Services and delete local copies of the Community App. Provisions that by nature should survive (including IP, disclaimers, limitations, indemnity, and governing law) will survive.

We may provide a reasonable window for Organizations to export Customer Content after cancellation where feasible; we are not obligated to retain data after account closure beyond what law or our Privacy Policy requires.

13. General and contact

Governing law. These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local consumer law applies to you. Courts in Delaware (or federal courts with jurisdiction there) shall have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction for IP or unauthorized access claims.

Changes.We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will be communicated with reasonable notice where practicable. Continued use after the effective date constitutes acceptance.

Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding the Services and supersede prior agreements on the same subject, except any separate written enterprise agreement signed by Duha.
